We are a blank check company incorporated as a Cayman Islands exempted company on September 12, 2025. The Company was incorporated for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses that the Company has not yet identified (the "Business Combination"). While we may pursue an initial business combination target in any industry or geographic location, we intend to focus our search for a target business in the power generation, energy infrastructure and energy technology and security sectors. We intend to utilize cash derived from the proceeds of our initial public offering ("IPO"), and the sale of the Private Placement Units (as defined below), our shares, debt or a combination of cash, shares and debt, in effecting a Business Combination. The Company's sponsor is Karbon Capital Partners Core Holdings, LLC, a Delaware limited liability company (our "Sponsor"). We have not yet selected a business combination target.
